Africa Bitcoin Corporation Limited (formerly known as Altvest Capital Limited Group) (“ABC”) was incorporated in South Africa. The principal activities of the ABC group is a financial services group with deep roots in supporting SMEs across South Africa. Over the years, we have built a reputation for unlocking growth opportunities for entrepreneurs and businesses, providing both funding and advisory solutions that help enterprises thrive.

Africa Bitcoin Corporation (ABC) is a listed financial services business focused on providing funding to SMEs across Africa, primarily through private credit. Our core business is lending to growing enterprises that are underserved by traditional banks, with an emphasis on predictable, cash-generative loan structures.

What sets ABC apart is how we capitalise our balance sheet. We’ve chosen to hold Bitcoin as a core reserve asset , not for speculation, but because its fixed supply, portability, and neutrality make it ideal collateral. A Bitcoin-backed balance sheet allows us to raise capital globally at lower cost, then deploy that capital into Africa’s high-yield private credit markets. This model generates a strong margin between our funding and lending rates, creating healthy, steady cash flows.

We’re currently raising equity to scale our Bitcoin reserves and expand our lending capacity. Our existing loan book is performing well, and we already have a proven origination and underwriting track record. ABC is listed on the JSE(South Africa), NSX (Namibia), and will soon list on the OTCQB (USA), Aquis Exchange (UK), and Frankfurt Börse, giving us global reach with an African focus.

We have expanded our reach across Africa, taking our model of empowerment and growth to a continental stage. Our mission is simple: to bridge capital with opportunity, enabling small and medium-sized businesses to become the backbone of Africa’s economic future.

Through our associated investment entity, Altvest Credit Opportunities Fund, we deploy growth capital to SMEs across Africa. Our purpose has always been to democratise access to alternative assets and provide sustainable financial solutions that support growth in the real economy.

Africa Bitcoin Corporation Ltd is incorporated in South Africa as a public company in accordance with the Companies Act, No. 71 of 2008, as amended in South Africa, under registration number 2021/540736/06.

Depository Interests (“DIs”) representing the Company’s ordinary shares are admitted to trading on the AQSE Growth Market Access Segment. The underlying ordinary shares represented by the DIs are the same class of shares listed on the JSE AltX.

As the Company is incorporated outside the United Kingdom, the rights of shareholders in ABC may differ from the rights of shareholders in a UK-incorporated company.

The Company’s DIs admitted to trading on the AQSE Growth Market are freely transferable. ABC’s ordinary shares are not traded on any UK exchange other than through the DIs on AQSE.

The Directors of Africa Bitcoin Corporation Ltd (“Directors” and together the “Board”) recognise the importance of sound corporate governance. The Company applies the principles of the King IV Report on Corporate Governance, the South African Companies Act, the JSE Listings Requirements, and the governance expectations of the AQSE Growth Market. ABC’s governance framework is supported by its Board Charter, Corporate Governance Policy and documented delegation structures.

The Board is committed to governance practices that promote transparency, accountability and responsible leadership. The Company will transition to the King V governance framework during 2026, in line with the new code’s effective date.

The Board

The Board meets regularly and is responsible for the Group’s strategic direction, performance oversight, major capital decisions and the internal control environment. A formal schedule of matters is reserved for Board decision-making, and the Board ensures that appropriate systems of internal financial control, risk management and compliance operate across the business. Monthly management reporting, annual budgeting and ongoing risk assessments support effective oversight, and Directors are provided with timely information to enable informed decisions.

Audit and Risk Committee

The Audit and Risk Committee (“ARC”) is a central element of ABC’s governance framework. It plays a critical role in safeguarding the integrity of financial reporting, overseeing risk management and internal controls, and monitoring the independent audit process. The ARC operates in line with the Companies Act, King IV and the JSE Listings Requirements.

All members of the Committee were re-elected at the ABC Annual General Meeting held in July 2025.

Its responsibilities include:
• Reviewing the integrity of financial reporting and IFRS compliance;
• Overseeing the effectiveness of risk management systems and internal controls;
• Evaluating audit findings and ensuring regulatory compliance;
• Recommending the reappointment of external auditors.

The ARC comprises independent non-executive directors, including representatives from the ACOF Board, ensuring Group risks receive appropriate oversight.

Social and Ethics Committee

The Social and Ethics Committee assists the Boards of ABC and ACOF in ensuring that the Group acts as a responsible corporate citizen, consistent with King IV and the Companies Act. It provides oversight of ethical leadership, stakeholder impact, ESG integration, and transformation initiatives.

All members of the Committee were re-elected at the ABC Annual General Meeting held in July 2025.

Key focus areas include:
• Monitoring ethical leadership and organisational culture;
• Overseeing stakeholder engagement and environmental impact;
• Reviewing transformation and ESG integration;
• Approving and monitoring related party transactions.

Remuneration and Nomination Committee

The Nomination and Remuneration Committee (RemCom) supports the Boards of ABC and ACOF in ensuring a skilled, diverse, and independent leadership structure, while aligning remuneration with long-term performance. Its mandate includes succession planning, board composition,
and oversight of remuneration policies for both executive and non-executive directors.

Share Restrictions

Other than the orderly market arrangement agreed with WGW Capital (Pty) Ltd and Tatum Keshwar Investments (Pty) Ltd, there are no restrictions on the transfer of the Company’s ordinary shares or the Depository Interests (“DIs”) representing such shares. Under the orderly market deed, WGW Capital (Pty) Ltd and Tatum Keshwar Investments (Pty) Ltd, have agreed not to dispose of any of its Ordinary Shares for a period of 12 months following Admission, except with the prior written consent of the Company and its AQSE corporate adviser.

Exchange / Trading Platform

Depository Interests (“DIs”) representing the ordinary shares of Africa Bitcoin Corporation Ltd (“ABC”) are admitted to trading on the AQSE Growth Market Access Segment. The Company’s DIs are not listed or traded on any other UK exchange or trading platform.

ABC was admitted to trading on the AQSE Growth Market Access Segment on xx under the ticker xx. The underlying ordinary shares represented by the DIs remain primarily listed on the Johannesburg Stock Exchange (“JSE”) AltX under the ticker BAC, with secondary listings on A2X and the Namibia Securities Exchange (“NSX”).

Prior to its AQSE admission, the Company did not have any securities traded on a UK regulated market or MTF. The admission of DIs on AQSE represents the Company’s first UK market presence.
