As we re-start the engines again for 2026 its useful to think about who we are, what we have done and what we hope to achieve…
Africa Bitcoin Corporation @AfricaBitCorp and @CapitalAltvest is a listed financial services group that combines a Bitcoin treasury reserve with a scalable private credit platform serving African SMEs, along with ancillary funding options and related services .
We are listed on multiple exchanges and trading venues, including the @JSE_Group (BAC), @A2X_Markets (BAC) NSX (BAN), Frankfurt (4BC), and @OTCMarkets (AFBCF).
In September 2025, we formally adopted a Bitcoin reserve strategy—positioning Bitcoin as a long-term, non-operating treasury asset to support our SME lending activities. Our single biggest objective for Q1 of 2026 is to secure capital and strategic investors to fuel the strategy!!
About ABC – Dual Pillars of Cash Flow & Bitcoin
ABC is a listed financial services group company that combines a scalable African private credit platform with a Bitcoin treasury reserve. Our foundational engine is the Altvest Credit Opportunities Fund (ACOF) – a private credit platform providing growth capital to African SMEs and generating steady, recurring cash flows. To date, the group has deployed about R320 million in funding to 40+ SMEs across 20+ industries, yielding interest income at ~18% rates. What makes ABC truly distinctive is how we pair these predictable cash flows with a Bitcoin reserve strategy. We do not treat Bitcoin as an operating asset; instead, it sits on our balance sheet as collateral and an alpha-generating reserve asset. In other words, Bitcoin serves as a strategic “digital gold” treasury holding that bolsters our capital base and is leveraged (at low, conservative loan-to-value ratios) to raise additional funding for the lending business. This dual-pillar model means investors gain exposure to Bitcoin’s long-term growth without sacrificing the stable returns of the SME credit portfolio – a blend of innovation and proven cash flow.
Economic Flywheel – Credit + BTC
ABC’s structure creates a powerful economic flywheel. By pledging Bitcoin as collateral, we can unlock additional low-cost capital (debt and equity) to expand ACOF’s loan deployments. In effect, each Bitcoin on our balance sheet translates into a significantly larger pool of productive loans without ever needing to sell the Bitcoin. This drives accretive returns: the SME loan portfolio delivers high-yield interest income (credit spread), while the Bitcoin reserve remains intact to appreciate in value. Even in downside scenarios, our core lending business provides solid cash flows to support the company, ensuring we aren’t reliant on liquidating Bitcoin for operations. In fact, these steady cash flows give ABC the capacity to service all commitments to debt providers and preference shareholders from operating earnings alone, preserving stakeholder confidence even during Bitcoin market volatility. In short, Bitcoin is used as collateral to fund growth, and the cash yields from ACOF fuel further Bitcoin accumulation – creating a self-reinforcing cycle of value.
Achievements Since Adopting Our Bitcoin Strategy
Since announcing our Bitcoin-focused treasury strategy in early 2025, ABC has made significant strides:
- February 2025 – First BTC Acquisition: We took our first tangible step by purchasing Bitcoin in February 2025, marking the launch of our Bitcoin treasury reserve approach. This initial allocation set the foundation for our dual-pillar strategy;
- Capital Raised to Support Strategy: Over the course of 2025, we raised approximately R135 million in new equity funding to acquire Bitcoin and expand our private credit platform. This provided growth capital for both pillars of our model;
- Bitcoin Treasury Growth: We continuously accumulated Bitcoin during 2025, building our treasury to 3.195 BTC. This resulted in a 206% Bitcoin yield for the year. Check out our analytics page here: analytics.africabitcoincorporation.com/?_gl=1*f90ja4*….
- Strategic Advisory Expertise: We announced the appointment of @saifedean (author of The Bitcoin Standard) as a Strategic Bitcoin Advisor to ABC. Dr. Ammous brings globally recognized Bitcoin economic expertise into our treasury strategy discussions, reinforcing the thought leadership behind our approach;
- We also hosted the Cape Town launch of Dr Ammous’s latest work, The Gold Standard, on 22 December helped close the year with high-quality public discourse around sound money, capital formation, and long-term financial architecture. Myself and @staffordmasie held a panel discussion with Dr Ammous. If you missed the event you can watch it here: youtube.com/watch?v=KLhdg1…
- Global Market Presence: A defining feature of 2025 was ABC’s visible move onto the global stage. We expanded trading access and achieved multiple secondary listings across markets – including South Africa (JSE AltX: BAC), Namibia (NSX: BAN), Europe (Frankfurt Stock Exchange: 4BC), and the United States (OTCQB: AFBCF). These listings have elevated ABC’s profile and broadened our investor base internationally, enhancing liquidity and awareness;
Diversified Revenue Streams
ABC’s business model yields multiple revenue and value drivers for investors, beyond the basic interest income from loans:
- Management Fees: We earn an asset management fee of approximately 2% per annum on assets under management in the credit fund (ACOF), along with a share of loan origination fees. This provides steady recurring fee income to ABC for overseeing and growing the SME loan portfolio;
- Bitcoin Holdings Appreciation: As Bitcoin’s market price increases over time, the value of ABC’s BTC treasury rises, directly boosting our net asset value. This appreciation will in time contribute to shareholder value without diluting equity or requiring asset sales;
- Equity Stakes Growth: ABC is the sole equity owner of ACOF and holds stakes in other assets, which increase in value as those underlying businesses expand and perform. Over the past year, the Altvest Credit Opportunities Fund’s assets grew from ~R163 million to almost R450 million, nearly doubling in value. This growth in our investee companies translates into higher intrinsic value for ABC’s balance sheet and potential fair value gains;
- Dividends & Distributions: In the future, ABC stands to benefit from dividends or profit distributions from its operating subsidiaries and investments (such as ACOF and any other asset holdings). ACOF is expected to generate sufficient returns to pay dividends over time, which would provide additional cash inflows to ABC. These dividend streams (alongside interest income from lending operations) help fund our corporate obligations and will also be deployed into Bitcoin to contunue growing our Bitcoin reserve
Momentum & Growth
ABC’s dual-pillar model is already gaining tangible traction. The balance sheet has also expanded: total assets roughly doubled year-on-year from ~R157 million to R285 million as our SME loan book grew and Bitcoin assets appreciated. Correspondingly, ABC’s equity (NAV) more than doubled (from R64 million to R147 million) over the year, strengthening our capital base for future growth.
Building on this momentum, we are now accelerating our expansion across Africa. ACOF is evolving into a pan-African SME lending platform, allowing us to tap the continent’s massive ~$330 billion SME financing gap with high-impact lending. This geographic growth, combined with our new secondary listings in key markets, is drawing significant interest from institutional and family office investors who see both the return potential and the meaningful social impact of our model.
In short, ABC is entering 2026 with strong financial performance, a robust pipeline of opportunities, and growing recognition as a pioneer in blending Bitcoin reserves with productive African enterprise financing.
Looking ahead: priorities for 2026
Our 2026 plan remains anchored in disciplined execution and responsible scaling, expanding reach, improving liquidity pathways, deepening institutional engagement, and continuing transparent communication.
We are also targeting broader regional market access, including planned listings that extend the ABC/Altvest footprint into additional African markets such as Botswana and Zimbabwe (as part of the broader regional expansion roadmap disclosed in group materials).
On the engagement front, we are preparing for a series of high-signal global touchpoints: an Emerging Markets Bitcoin Treasury Company Investor day in New York on the 20th February 2026, participation at Strategy World 2026 in Las Vegas (23–26 February 2026), and @staffordmasie will be presenting @abcptza (30–31 January 2026), ensuring we remain close to the institutional, technical, and policy conversations shaping the next phase of corporate Bitcoin strategy globally.
Thank you to our shareholders, partners, and broader community for your support and engagement through a pivotal year.
